Partnership / Cooperation Agreement

This document serves to clarify the position and terms of the cooperative agreement between 

Together We Stand (The host) and the guest party.

Let it be known and stated clearly that:

  1. Together We Stand is an active agriculture/aquaculture farm entity with a primary focus on agro-education, located at 3350 N 57 Drive, Hollywood, Florida 33021. 
  2. As an agricultural farm the state of Florida’s Right to Farm act acknowledges the challenges of safeguarding against all contingencies of harm which might occur in the normal operations of a farm enterprise and has extended civil protection to the farmer, landowner, and farm workers against civil litigation in conjunction with normal farm operations. 
  3. Any group, organization or individuals partnering with Together We Stand, or individuals affiliated with such groups or organizations, which endeavors to entertain, educate, host, conduct commerce or other activity at this location understands and assumes any and all liability responsibility resulting from injury, harm, loss of property or loss of life due to accident or negligence and shall not hold Together We Stand, or it’s directors, officers, employees, agents, property owners, or guests, responsible for damages resulting from injury, harm, loss of property or loss of life due to accident or negligence. 
  4. Together We Stand is a practical educational hosting facility, hosting a variety of educational opportunities.
  5. Together We Stand is an established 501 (c) 3 non-profit educational organization and has been established since 2012.
  6. At no time shall any party establish a mailing address for, or list this address as a location for a business or other legal entity other than Together We Stand.  
  7. All references in public view, marketing, social media and other advertisements shall be referenced as: an entity’ (by name) in partnership with Together We Stand and it’s logo.
  8. Together We Stand is an open-air educational farm environment. We have plants, dirt, fertilizers, farm animals, and animal waste products. Pathogens such as bacteria, viruses, mold, and fungi are all present and active in farm life. Washing hands often and not touching your face is always a good idea. 
  9. Together We Stand is a mask optional location. If you wish to wear a mask please feel free – we will honor your opinion and practice social distancing if requested.  

Terms and conditions of the agreement are as follows:

  1. The guest party shall have access to the farm campus located at 3350 N 57 Drive, Hollywood Florida 33021, for the purpose of gathering and educating students and families.
  2. Access shall be granted Monday through Friday from 6:00 AM – 6:00 PM. 
  3. Gate with key access shall be provided via the entrance gate located at the corner of Charleston Street and N 58th Avenue.
  4. The guest party shall have exclusive use of the classroom and shaded learning area west of the garden area during the days and hours listed above.
  5. The guest party shall have non-exclusive use of the animal barn, the garden area, and the fruit orchard picnic area. 
  6. Any areas not mentioned in this agreement are not subject to this agreement.
  7. The guest party agrees to a chaperone student ratio of no less than 1-chaperone to 5-students for grades k-5, and a ratio of 1-chaperone to 10-students for grades 6-12. Children under the age of 5 must be directly accompanied by an adult at all times.
  8. All members and participants to this program must sign a legal disclaimer acknowledging the farm nature of the project and understands and assumes any and all liability responsibility resulting from injury, harm, loss of property or loss of life due to accident or negligence and shall not hold Together We Stand, or its directors, officers, employees, property owners, agents, or guests responsible for damages resulting from injury, harm, loss of property or loss of life due to accident or negligence. 
  9. No pets are allowed on the farm without a leash.
  10. No swimming or boating allowed in the lake.
  11. Any improvements to the land or farm shall remain the property of Together We Stand and shall be treated as a donation to the 501 (c) 3 of Together We Stand. A tax deductible receipt will be offered for the value of the improvements. 
  12. Utilities, cable, internet, or other contractible service which is attached to this address shall be the responsibility of the guest party and shall be billed to the guest party directly at their address, and expressly not 3350 N 57 Drive, Hollywood, Florida 33021.
  13. In compensation of these liberties, the guest party shall donate the amount of no less than $1,500 a month payable on the first of each month as co-operative support to help maintain the operations and programs of Together We Stand.
  14. Both parties acknowledge that as the project grows, costs and conditions associated with project expansions are subject to change and modification. Items such as, but not limited to, utility cost increase (electric, water), parking, sewage, trash pickup, etc., may be subject to additional compensation. 
  15. Guest party party shall retain comprehensive public liability insurance with respect to the premises and guest activities therein and thereabout, insuring against liability for personal injury or death, property damage or other loss, including liability arising out of guest party indemnity set forth in the agreement with deductibles of no more than $1,500 and a combined single limit of not less than $1,000,000 per incident. Host and property owner shall be named as an additional insured under guest party insurance and such insurance shall be primary and non-contributing with any insurance carried by host or property owner. 
  16. The guest party hereby agrees that it will indemnify Together We Stand, and property owner, and save it harmless from and against any and all claims, actions, damages, liability, and expense in connection with loss of life, personal injury and or damage to property arising from and out of any occurrence in, upon or at the farm, lake or buildings or any part thereof or occasioned wholly or in part by any act or omission of Together We Stand, their agents, employees, licensees, invitees, or third persons in or about the premises. In case the Together We Stand shall be made a party to any litigation commenced by or against the guest party, then the guest party shall protect and hold Together We Stand and property owner harmless and shall pay all costs, expenses, and attorney’s fees incurred or paid by Together We Stand, or property owner, in connection with such litigation. The Together We Stand,  and property owner, indemnification and holding harmless of the Together We Stand, and property owner, shall survive the termination of this agreement. 
  17. Together We Stand is not acting as a landlord or lessor in this agreement but as a hosting agricultural farm entity. This is a cooperative partnership for educational purposes only. 
  18. This is not a rental agreement. Funds and terms associated with this agreement are the framework for a cooperative agreement under and as Together We Stand educational farm entity and 501(c)3 protective status.
  19. It is understood that other groups and educational programs may be scheduled and other guest parties during the time stated in the agreement in other areas of the farm campus. Care and respect will be given to honor your reserved spaces, students, and programs. 
  20. This agreement is for a 6-month trial period and will be reviewed or modified as needed during that period.
  21. This agreement may be terminated by either party by  written 30-day notice of intent to terminate.
  22. The guest party shall provide two months compensation ($3,000) upon the initiation of this agreement.
  23. Both parties acknowledge that, because of a recent fire, currently there are no restroom facilities available on the Together We Stand property. Together We Stand and guest party agree to work together to provide safe and clean facilities for students and staff. 

Fund raising

  1. Together We Stand and the guest party agree to work together to raise funds and donations which mutually benefit both parties and strengthen the educational platform.
  2. The guest party may raise funds for their home school project partnering with Together We Stand, an established 501 (c) 3, for the guest party project.
  3. All events, ads, publications and social media listings must display the hosting group in partnership with the Together We Stand name and logo. 
  4. A separate bank account will be established in Together We Stand’ EIN#XXXXXXXXX to manage collected funds. 
  5. This account will be represented by an agent of Together We Stand and the guest party. Both The guest party and the guest party will have signature rights to this account.
  6. A 10% administrative fee of all funds raised will go directly to the Together We Stand operations account.
  7. The remaining 90% of the funds will go directly to the legitimate development of the guest party project, at the discretion of the agent of the guest party project, in accordance with the laws governing 501 (c) 3 nonprofit transactions. 
  8. If total funds generated exceed $50,000 in any calendar year; administrative costs such as legal counsel, accountant services or other devices deemed necessary to maintain and properly manage said funds shall be retained to represent the party of the host and the guest party from the funds generated from this co-operative agreement account.
  9. Both parties reserve the right to retain independent counsel to represent and defend each interests’ in this agreement funded by and through the funds generated from this agreement. 
  10. A ledger of funds allocation will be supplied to Together We Stand for tax audit purposes. 
  11. Upon the termination of this agreement, all funds associated with this account will be dispersed in accordance with the laws governing 501 (c) 3 nonprofit transactions and the account will then be closed.
  12. This agreement offers no authority to the guest party project or agent thereof; to speak for, or in any way represent, Together We Stand as agent or proxy agent except as stated above in this limited partnership agreement.
